Feathergrade end user licence agreement

This is the licence agreement between you and Antler Compass ("we", "us") for Feathergrade (the "Software"). By activating a licence key for the Software you accept this agreement. If you do not accept it, do not activate the Software and request a refund under our refund policy instead.
1. Licence grant
Subject to this agreement and to payment of the applicable price, we grant you a perpetual, non-exclusive, non-transferable licence to install and use one copy of the Software, for your own personal or internal business use, on up to 2 devices that you own or control at any one time, per licence key. "Perpetual" means the licence itself does not expire or need renewing to keep using the version of the Software you already have installed — it is a one-time purchase, not a subscription.
Each licence key tracks its own activations. Activating on a new device beyond your seat limit requires releasing a seat first, either from the app or from your account on this Portal. You may not activate the same key on more devices than your licence allows at the same time, share a key with anyone else, or sublicense, rent, lease or resell the Software or your licence key.
2. Updates
Your licence includes 12 months of updates from the date of purchase. During that window, new versions of the Software released for your platform are included at no extra cost. After the update window ends, the version of the Software you have keeps working under this same perpetual licence — nothing stops working, and no downgrade or watermarking is applied — but you will not receive further updates unless you renew with an Update Pass, sold separately, which extends the update window by a further 12 months from the date of renewal.
3. What you may not do
Except to the extent applicable law gives you a right that cannot be waived, you may not:
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
- remove, obscure or alter any licensing, copyright or other proprietary notice in the Software;
- circumvent or attempt to circumvent the Software's licence activation or validation mechanism;
- use the Software to build a directly competing product, or distribute the Software itself to anyone else.
4. Beta and evaluation keys
Some licence keys are issued for beta testing or evaluation rather than sold. A beta or evaluation key is licensed to you on the same terms as above, except that:
- it is granted for a limited period stated when it is issued, after which it stops activating and an already-activated copy returns to the licence screen;
- it may be revoked before that date at our discretion, for example if the beta ends early;
- it is provided free of charge and is accordingly not covered by the refund policy, which applies to paid purchases;
- the Software may be less stable, incomplete, or changed without notice during a beta, and is provided with no warranty of fitness for any particular purpose beyond what section 6 already disclaims for every licence.
Converting a beta key to a paid licence (where offered) is a separate purchase and does not automatically carry over any beta-only terms.
5. Ownership
We and our licensors retain all right, title and interest in and to the Software, including all intellectual property rights in it. This agreement gives you only the licence set out in section 1 — nothing else. Any feedback, suggestions or ideas you send us about the Software may be used by us without restriction or obligation to you, as set out in our terms of service.
6. Warranty disclaimer and limitation of liability
The Software is provided "as is", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Our total liability arising out of or relating to this agreement or the Software will not exceed the amount you paid for the licence in question. Nothing in this agreement excludes or limits liability that cannot lawfully be excluded or limited.
7. Termination
This licence ends automatically if you breach a material term of this agreement and do not remedy it within a reasonable time of us telling you about it, or immediately for a beta or evaluation key at the end of its stated period. On termination you must stop using the Software and deactivate any remaining seats; sections 5 and 6 survive termination.
8. Governing law
This agreement is governed by the laws of England and Wales. This section is a placeholder pending a final decision on Antler Compass's registered jurisdiction — see the draft banner above.
